Gandasari Group Investama is seeking a high-caliber Corporate Secretary General Manager to serve as a pivotal strategic leader within our organization. In this role, you will act as the primary bridge between the Board of Directors, stakeholders, and regulatory bodies. You will be responsible for upholding the highest standards of corporate governance, ensuring regulatory compliance, and managing high-level institutional relationships.
The successful candidate will demonstrate exceptional discretion, a deep understanding of Indonesian corporate law, and the ability to navigate complex administrative landscapes. Tanggung Jawab
- Oversee all corporate secretarial functions to ensure full compliance with OJK and Indonesian corporate regulations.
- Coordinate Board of Directors meetings, including agenda setting, minute-taking, and ensuring follow-up actions are executed.
- Maintain statutory records, corporate filings, and ensure timely documentation of corporate actions and resolutions.
- Serve as the key liaison between the company and regulatory authorities, auditors, and legal counsel.
- Develop and implement robust internal governance policies to mitigate risk and enhance transparency.
- Provide expert advisory to the executive leadership team regarding corporate law, disclosure requirements, and best practices in governance.
- Manage the corporate entity lifecycle, including restructuring, licensing, and reporting requirements.
Kualifikasi
- Bachelor’s degree in Law, Business Administration, or related fields; a Master’s degree (LL.M or MBA) is highly preferred.
- Minimum of 8-10 years of experience in corporate secretarial, legal, or compliance management roles, ideally within the financial or investment sector.
- Comprehensive knowledge of the Indonesian Company Law, Capital Market Regulations, and GCG (Good Corporate Governance) principles.
- Superior command of both Indonesian and English, with excellent formal drafting and communication skills.
- Proven ability to manage high-level stakeholders and handle sensitive information with absolute confidentiality.
- Strong analytical mindset with a meticulous attention to detail and a proactive approach to problem-solving.
- Relevant professional certifications (e.g., Corporate Secretary certification) are a distinct advantage.
