We are currently seeking a highly experienced and dynamic Senior Legal Counsel to join our head office team in Makati City, Metro Manila. This is an exciting opportunity to provide expert strategic legal guidance across our Philippine operations, primarily supporting our flagship Didipio Gold-Copper Mine.
This is a pivotal leadership role for a seasoned legal professional who thrives in a fast-paced, complex, and highly regulated environment. As Senior Legal Counsel, you will play a critical strategic role in safeguarding the company's interests, ensuring strict compliance with Philippine laws and regulations, and supporting key business decisions. You will work closely with the General Counsel, executive leadership, various internal departments, and external stakeholders to proactively mitigate legal risks and facilitate the company's operational and strategic objectives.
The scope of this position is broad and impactful. You will manage a diverse spectrum of legal matters, including corporate governance, commercial contracts, mining and regulatory compliance, litigation management, intellectual property, and labor relations. This role demands a proactive, solution-oriented leader with deep expertise in corporate law, litigation management, and a strong understanding of the mining industry's unique legal landscape.

Tanggung Jawab
- Provide high-level strategic legal advice and counsel to the Board, executive management, and operational teams on corporate governance, regulatory compliance, and enterprise risk management.
- Oversee, draft, review, and negotiate a high volume of complex commercial contracts, including supply agreements, service contracts, Joint Venture agreements, and Confidentiality Agreements.
- Manage and coordinate all litigation, arbitration, and alternative dispute resolution proceedings, working closely with external counsels and internal stakeholders to protect the company's interests.
- Ensure rigorous compliance with Philippine mining laws (RA 7942), environmental regulations (RA 8749, RA 9275), local government requirements, and other applicable statutory and regulatory frameworks.
- Advise on a full range of labor and employment law matters, including employee relations, disciplinary actions, organizational restructuring, and compliance with labor standards.
- Manage the company's intellectual property portfolio and handle related legal issues, including trademark registration and protection.
- Conduct thorough legal research, risk assessments, and due diligence for new projects, acquisitions, business ventures, and permitting requirements.
- Develop and deliver targeted legal training programs for internal teams to promote a culture of compliance, integrity, and legal awareness across the organization.
Kualifikasi
- Juris Doctor (JD) or Bachelor of Laws (LL.B.) degree from a recognized law school. Admission to the Philippine Bar is mandatory and must be in good standing.
- At least 8 to 10 years of progressive legal experience post-bar admission, with a strong background in litigation and corporate law. Experience in the mining, energy, or heavy industrial sector is highly preferred.
- Extensive experience managing complex litigation cases and a proven track record of success in court procedures and alternative dispute resolution mechanisms in the Philippines.
- Proven expertise in drafting, reviewing, and negotiating complex commercial contracts and agreements.
- Deep and demonstrable understanding of Philippine corporate law, mining laws, labor laws, and environmental regulations.
- Exceptional analytical, negotiation, and communication skills (both written and verbal), with the ability to translate complex legal concepts into clear, actionable business advice for non-legal stakeholders.
- Strong leadership capabilities with the ability to manage external counsel, mentor junior legal staff, and collaborate effectively with cross-functional teams across different departments.
- High level of integrity, professionalism, sound judgment, and discretion in handling sensitive and confidential information.
