Tanggung Jawab
- Provide expert legal counsel and advisory services to the executive team and board of directors on a range of corporate, commercial, and regulatory matters.
- Manage and oversee all board meeting processes, including the preparation of board packs, minutes, and resolutions to ensure smooth governance.
- Ensure strict compliance with applicable Philippine laws, including the Corporation Code, Data Privacy Act, and relevant financial regulations.
- Draft, review, and negotiate a variety of commercial contracts, agreements, and legal documentation to mitigate risk and protect company interests.
- Implement and maintain robust internal compliance programs and policies to foster a culture of ethical conduct and risk management.
- Act as the primary point of contact for regulatory bodies and external legal advisors to resolve complex compliance issues.
- Monitor changes in local and international laws to advise the organization on necessary strategic adjustments.
Kualifikasi
- Licensed Attorney (Bar Certified) with a valid license to practice law in the Philippines.
- Minimum of 4-6 years of post-admission experience, preferably in a corporate legal role, focusing on governance, compliance, and contract management.
- Strong understanding of corporate governance principles, board protocols, and fiduciary duties.
- Familiarity with Australian corporate laws and regulatory frameworks is highly desirable.
- Excellent drafting and communication skills, with the ability to explain complex legal concepts to non-legal stakeholders.
- Demonstrated ability to work independently in a hybrid work environment.
- High attention to detail, strong analytical thinking, and a proactive problem-solving approach.
