Tanggung Jawab
- Manage the full range of company secretarial duties for Tropicana Corporation Berhad and its group of companies.
- Ensure full compliance with the Companies Act 2016, Bursa Malaysia Main Market Listing Requirements, and other statutory regulations.
- Coordinate, organize, and attend Board, Board Committee, and General Meetings, including the preparation of agenda, board papers, and minutes.
- Maintain and update statutory registers, records, and filings with the Companies Commission of Malaysia (SSM) and Bursa Malaysia.
- Draft corporate resolutions, announcements, and circulars to shareholders.
- Provide expert advisory services to the Board and Management on corporate governance matters and regulatory compliance.
- Liaise with external regulators, auditors, legal counsel, and share registrars.
- Implement and monitor corporate governance framework improvements across the group.
Kualifikasi
- Possess a professional qualification (ICSA/MAICSA) or a Degree in Law/Business/Finance/Accounting.
- Minimum 8-10 years of experience in company secretarial practice, preferably with experience in public listed companies.
- In-depth knowledge of the Companies Act 2016, Main Market Listing Requirements, and the Malaysian Code on Corporate Governance.
- Strong command of English and Bahasa Malaysia, with excellent report-writing and communication skills.
- High level of professional integrity, attention to detail, and ability to handle confidential information.
- Proven track record of managing complex corporate secretarial projects and working with high-level stakeholders.
- Proficient in MS Office and corporate secretarial software.
