3E Accounting is seeking a highly motivated Senior Corporate Secretary Executive to join our dynamic team on a work‑from‑home basis. In this pivotal role, you will act as the primary point of contact for a diverse portfolio of corporate clients, delivering expert secretarial, compliance and governance services in accordance with Singapore’s regulatory framework.

You will be responsible for ensuring that all statutory obligations—including annual returns, changes in shareholdings, and director appointments—are met accurately and on time. Working closely with senior management, legal counsel, and external auditors, you will help maintain the highest standards of corporate governance while supporting the growth of our clients’ businesses.

Key aspects of the role include:

  • Managing and coordinating board meetings, drafting minutes, and following up on action items.
  • Maintaining statutory registers, filing documents with ACRA, and monitoring regulatory updates.
  • Advising clients on corporate structure changes, share issuances, and shareholder agreements.
  • Conducting due‑diligence reviews for mergers, acquisitions, and corporate restructuring.
  • Developing and implementing compliance checklists and internal policies.
  • Liaising with external stakeholders, including lawyers, bankers, and corporate service providers.

Tanggung Jawab

  • Manage and coordinate board meetings, prepare agendas, draft minutes, and track action items.
  • Maintain and update statutory registers and corporate records in compliance with the Companies Act.
  • File statutory returns, annual reports, and other required documents with ACRA and relevant authorities.
  • Advise clients on corporate governance best practices, director duties, and shareholder matters.
  • Support corporate restructuring, mergers, acquisitions, and capital raising activities.
  • Monitor changes in legislation and regulatory requirements, and communicate updates to stakeholders.

Kualifikasi

  • Bachelor’s degree in Law, Business Administration, Accounting, or a related discipline.
  • Minimum 3–5 years of experience in a corporate secretarial or governance role within Singapore.
  • In‑depth knowledge of the Singapore Companies Act, ACRA filing requirements, and SGX listing rules (if applicable).
  • Professional certification such as the Singapore Institute of Directors (SID) or Certified Secretary (CS) is advantageous.
  • Strong analytical, organizational, and communication skills with meticulous attention to detail.
  • Ability to work independently in a remote (WFH) environment and manage multiple client deadlines.
